Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ride Connect mobile application (the "Service"), operated by S B Fabricating Inc. ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service — and our role

Ride Connect is a technology platform that connects riders and parcel senders ("seekers") with independent drivers in Ontario.

We are a neutral platform only. We are not a transportation carrier, courier, or delivery provider, and we do not provide rides or deliveries. Drivers are independent individuals, not our employees, agents, or partners. Any ride or delivery arranged through the Service is a private arrangement directly between the seeker and the driver; we are not a party to it, do not direct or control drivers, and are not responsible for the acts or omissions of any user. We do not screen, vet, or guarantee the identity, conduct, qualifications, or suitability of any user. You interact with other users at your own risk and are responsible for your own safety.

2. Eligibility & accounts

You must be at least 18 years old to create an account. You agree to provide accurate, complete, and current information, to safeguard your password, and to accept responsibility for all activity under your account. Notify us immediately of any unauthorized use. Providing false information is a breach of these Terms and may result in termination.

3. Driver responsibilities

If you offer rides or deliveries, you represent and warrant that, at all times, you: hold a valid Ontario driver's licence; carry your own valid automobile insurance; operate a roadworthy and legally compliant vehicle; and comply with all applicable traffic, transportation, and other laws. You are solely responsible for your licence, insurance, taxes, and the operation and safety of your vehicle and trips. We provide no insurance of any kind.

4. Seeker responsibilities

You agree to provide accurate trip and parcel information, to be ready at the agreed time and place, to treat drivers respectfully, and to pay any fare you agree to.

5. Fares & payments between users

Drivers set their own rates, and the seeker and driver agree the fare. Fares are paid directly between the seeker and the driver by the method they agree on. Any fare estimate shown in the app is for convenience only. We do not collect, process, hold, or guarantee ride or parcel fares, and we are not responsible for any payment or dispute between users.

6. Subscriptions

Access to certain features requires a paid membership subscription (currently for seekers), billed annually in advance through the Apple App Store or Google Play at the fee shown in the app. Subscriptions auto-renew unless you cancel at least 24 hours before the end of the current period through your App Store or Google Play account settings; billing, renewals, and cancellations are handled by the applicable store. We may offer a free trial. We may change fees with reasonable prior notice. Except where required by law or store policy, subscription fees are non-refundable and are managed through the store. Subscription fees are separate from ride/parcel fares, which are arranged directly between users.

7. Parcel deliveries

Senders are responsible for the contents, packaging, and lawfulness of any parcel. You must not send: illegal, stolen, hazardous, flammable, or explosive materials; perishable goods; living things (people or animals); weapons; drugs; cash or high-value/irreplaceable items; or anything restricted by law. We are not a courier and are not liable for loss, theft, delay, or damage to any parcel; all arrangements and risk are between the sender and the driver.

8. User content & reviews

You retain ownership of content you submit (messages, photos, reviews, etc.), and you grant us a licence to host, display, and use it as needed to operate the Service — including showing your written driver reviews to other riders anonymously. You are responsible for your content and must not post anything unlawful, abusive, deceptive, or infringing. We may remove content or restrict accounts at our discretion.

9. Acceptable use

You agree not to use the Service to harass, threaten, defraud, or harm others; to break the law; to misuse or interfere with the Service; to misrepresent yourself; or to attempt to circumvent the platform or these Terms.

10. Assumption of risk & release

You acknowledge the inherent risks of travel and of meeting and transacting with other people. To the fullest extent permitted by law, you release us and our principals, officers, employees, and agents from any claims, liabilities, or damages arising out of or relating to rides, deliveries, or interactions between users.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any user, ride, delivery, or outcome will meet your expectations.

12. Limitation of liability

To the fullest extent permitted by law, we and our principals, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of (or inability to use) the Service, the conduct of any user, or any ride, delivery, or parcel. Our total aggregate liability for any claim will not exceed the subscription fees you paid us in the 12 months before the claim.

13. Indemnification

You agree to indemnify and hold harmless S B Fabricating Inc. and its principals, officers, employees, contractors, and agents from any claims, losses, damages, and costs (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your content, your trips or deliveries, or your conduct.

14. Termination

We may suspend or terminate your access at any time, without notice, for any reason, including breach of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

15. Changes to these Terms

We may modify these Terms. For material changes, we will provide notice and require you to re-accept the updated Terms in the app before continuing to use the Service. Continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable there. If any provision is held unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and us regarding the Service.
